CBS College Sports Network is looking to hire a Vice President for their Business & Legal Affairs department.
This position will report directly to our EVP, Business & Legal Affairs and will be primarily responsible for supporting the legal needs of all members of the Affiliate Sales Group; however, this attorney will also handle programming, marketing, mobile, online and other multimedia matters.
The person who fills this position will be the lead attorney in negotiating agreements for carriage of CBS C with U.S. and Canadian MSO’s. Will perform all day-to-day legal and business affairs activities for this unit. Position interacts internally with senior executives, including finance executives, and externally with MSO’s and satellite companies’ executives and attorneys. Will handle all audit requests and audit negotiations. Will assist EVP of Affiliate sales in strategic deal making and MFN management and tracking. Will handle various day to day questions regarding contract restrictions and limitations.
In addition, this person will negotiate and draft agreements for programming deals, marketing deals, mobile deals and “tech” deals. This person may oversee the work of the rights and clearances coordinator and intern in drafting sublicensing deals and rights agreements for music and footage. Will work closely with the vice president of programming in these negotiations.
This person will handle various intellectual property and DMCA issues for CBS C.
This person will work on miscellaneous matters as assigned by the General Counsel and assist in litigation and due diligence requests.
Position Qualifications:
Attorney with minimum of 8 -10 years of legal experience with an emphasis on intellectual property licensing and other various commercial agreements, including significant experience negotiating and drafting affiliate distribution and other television agreements. Strong understanding of various television distribution platforms and familiarity with FCC regulations with respect to cable issues. Front-line business affairs negotiation experience in affiliate agreements required, with the expectation that candidate will have ability to assist in the structure and negotiation of deals as well as to draft agreements once terms are negotiated. This attorney will carry out complex activities with some level of autonomy and independence. Excellent judgment, initiative, and organization skills are a must. Must possess strong writing and interpersonal skills. Creative, business-friendly approach to problem solving and the ability to provide high quality legal support in a fast-paced environment are vital. Position Description
Negotiates and drafts videogame development agreements and software licenses and advises on all legal issues related to game production. Conducts legal review of WBIE games. Experience handling game clearances is highly preferred.
Negotiates and drafts domestic and foreign publishing and distribution agreements and other more standard form contracts, such as master vendor agreements, services agreements, talent agreements and other documents. Knowledge of commercial, anti-trust and other relevant International law is required.
Provides counsel regarding marketing materials, WBIE websites, online promotions, contest and sweepstakes. Knowledge of advertising laws (both domestic and International) is desired.
Negotiates and drafts intellectual property licenses and provides legal advice and counsel to business development executives regarding license terms. Advises WBIE production and marketing teams regarding brand approvals and other license requirements.
Provides business and legal service, including negotiation and review of contractual obligations and options, copyrights, contract administration, etc. Rights research experience desired. Gathers research from appropriate sources for talent rights and clearances, and drafts appropriate contracts to acquire rights or provide assistance to licensees or third parties, as appropriate, to acquire such rights.
Works in conjunction with various Domestic and International WBIE departments (production, sales and marketing, business development, finance, etc.) to ensure the most advantageous and proper business and legal principles are adopted and utilized.
Researches and prepares necessary background information for litigation preparation.
Provides assistance to WB Corporate Legal in connection with equity and asset acquisitions.
Work Experience
Minimum 5 years experience in entertainment law (transactional) with some interactive entertainment industry experience. Experience dealing with International legal matters is preferred.
Education, Professional Training, Technical Training or Certification
JD from a top law school required.
Knowledge/Skills
Knowledge of interactive software market/entertainment industry required.
Knowledge of International commercial, anti-trust and advertising laws required.
Must have excellent negotiating skills and must be detail oriented.
Working knowledge of union and guild issues helpful.
Should possess strong PC Skills, including proficiency with MS Outlook, Word and Excel.
Must have excellent interpersonal & communication skills.
Must be a team player and willing to pitch in whenever needed.
Must have the ability to work in a fast-pace environment and to prioritize work to meet specific deadlines required.
Must be self-motivated & results oriented.

Position Description:
NBC Universal is looking for 2 experienced attorneys to act as temporary production lawyers for both scripted and unscripted “reality” programming, filling in for staff lawyers on maternity leave. NBCU lawyers act as hands-on production attorneys for programming produced by NBCU and its divisions and also work with production counsel for outside producers. We assist our clients with content development by providing advice regarding privacy and publicity issues in connection with life stories and “ripped from the headlines” plotlines, as well as analyze copyright chain of title in connection with potential intellectual property acquisitions. We draft production agreements; vet scripts, mock-ups and rough cuts; and advise our clients on intellectual property, defamation, privacy, contract, digital, and FCC issues, as well as other issues arising out of both scripted and unscripted “reality” programming. We also handle claims prior to litigation and advise our clients with respect to digital projects and transactions in connection with our programming. In addition, we provide advice in connection with promotional and marketing campaigns, events, and stunts in connection with our programs and networks.
Requirements:
• Excellent academic credentials
• Current admission to StateplaceCalifornia bar.
• Minimum three years experience in some or all of the following areas: intellectual property, privacy, entertainment law, and defamation.
Some experience handling production issues on scripted or unscripted programming.
• Some experience negotiating and/or drafting production agreements.
• Excellent written and oral communication skills.
• Computer (Microsoft Word) proficiency.
